Business Ownership ~ Local Company | Subsidiary.

A Local Company or a Subsidiary is a company that is limited by the shares of its share-holders and can either be wholly or partly owned by both a Ghanaian native and a non-Ghanaian. The registration forms for a company limited by shares can be freely obtained on the website of the Registrar General’s Department. The acquisition of Tax Identification Numbers (TIN) for the company, its directors as well as share-holders are usually incorporated into the company registration process without which the process cannot be effected. The Capital Market in Ghana is constituted by the Ghana Stock Exchange (GSE), Ghana Commodity Exchange (GCX), & Securities & Exchange Commission (SEC).

The Ghana Stock Exchange (GSE) was initially established in July 1989 as a Private Company Limited by Guarantee under the Companies Act 2019, (Act 992). It was afforded recognition as a recognized Stock Exchange under the Stock Exchange Act of 1971 (Act 384) in October 1990 and started trading on 12th November, 1990. In April 1994, the Ghana Stock Exchange (GSE) changed its Private status to a Public Company Limited by Guarantee.

The Ghana Commodity Exchange (GCX) is a Private Company Limited by Shares with an organizational structure as Private-Public Partnership. In November 2017, the Government of Ghana serving as its Sole Shareholder realized its incorporation. The Ghana Commodities Exchange (GCX) seeks to connect small-scale Ghanaian farmers to agricultural and financial markets in Ghana and beyond to help them secure decent & competitive prices for their commodities & services.

The Securities & Exchange Commission (SEC) was established by the Securities Industry Act, 2016 (Act 929) with the rationale of developing an efficient, transparent and integrity-worthy Securities Industry.

Real Estate Sector.

The urbanization rate in Ghana is reported to roughly hover around 3.51% coupled with an increase in Middle Class Population and the influx of expatriates. The Petroleum Commission (PC) is the main regulator for Upstream Petroleum Companies who intend to operate in Ghana. These companies must register with the Petroleum Commission and such registrations are renewable annually.

Any Petroleum Company desiring to acquire a Block for the exploration & production of oil must put in an application with the Ministry of Energy. The Petroleum Commission administers the process and makes recommendations for the award of Petroleum Agreement (PA).

When these criteria are satisfied per the Petroleum Commission standards, its recommendations accepted and the terms of conduct negotiated, the draft agreement is sent to Cabinet for approval. Once Cabinet has approved, the Agreement is executed by the parties involved and further relayed to Parliament for ratification.

Mineral Mining Sector.

The Mining Sector makes up an estimated 5% of the Ghana’s Gross Domestic Product, and the minerals mined make up some 37% of overall exports with Gold amounting to 90% of all that is exported. Ghana is reported to be the second largest producer of Gold in Africa.

Every Mineral in its natural state within the borders of Ghana is Ghana’s property and vested within the trust of the President for the nationals. Mining in Ghana is regulated by the Minerals Commission which works in collaboration with the Ministry of Natural Resources, and given its legislative instrument, the sector is ruled by Mining & Minerals Act , 2006, [Act 703]. The Act 703 affords a respectable degree of power to the Minister to categorize lands for exploration as well as issue and | or revoke mining & exploration rights were deemed prudent.

The registration process for a Non-Governmental Organization (NGO) takes on two stages. The first stage includes a registration with the Registrar General’s Department as per the Companies Act, 2019 (Act 992) for a Certificate to Commence Business. The Trustees Incorporation Act of 1962 and the Professional Bodies Registration Decree (NRCD 143) of 1976 are some other legal instruments tendering Ghana’s Charity Sector.

The second stage of registration is with the Non-Profit Organization Secretariat where the Certificate issued by the Registrar of Companies is presented for a licensure before the Charity’s formal operations can begin. All these registrations come at a stipulated small fee averaging around $200 for the former and $150 for the latter.

The relationship between Ghana’s Philanthropic & Government aspects has grown cordial over time and thus, Philanthropic Organizations are free to publish their research findings, share evidences of their initiatives and critique government policies and interventions without fear of any form.

The 2015 Income Tax Act (896) section 100 incentivizes charity donations in Ghana where it is stated; “person who contributes or makes a donation to a worthwhile cause can claim a deduction from the person’s income for such contribution or donation .”

Business Regulating Bodies In Ghana.

Ghana Investment Promotion Centre [GIPC] is the regulating body for all business entities in which there is foreign participation. This is stipulated under the GIPC Act, 2013 [Act 865], [GIPC Act].

Ghana Free Zones Authority [GFZA], registers and regulates business entities outside of the; Mining, Petroleum & Timber industries. Those entities registered with Ghana Free Zones Authority [GFZA] enjoy a ten [10] year tax-free business operation as long as they are able to export 70% of their produce. After the tenth [10TH] year however, there is a 25% tax levied on goods going into the local market and 15% tax placed on goods going into foreign markets.

Social Security & National Insurance Trust widely known as ‘SSNIT’ is the go-to registration haven for all employers in fulfillment of their Tier 1 Pension contributions to their employees. Employers are also required to register with a Private Pension Fund Manager for Tier 2 Pension Contributions on behalf of their employees.

The Data Protection Commission regulates all entities that Control (Data Controllers) & Process (Data Processors) personal data, also requiring of them to renew their registration every two years to meet with upgraded standards. The Commission as well tasks Data Controllers & Data Processors to submit yearly compliance reports.

The National Communications Authority regulates bodies that provide some Telecommunication services and communication business such as Radio Stations.

The Minerals Commission governs all entities providing mining & mine support services. Registration with the Minerals Commission by these entities entitles them to privileges such as; the issuance of Expatriate Immigration Quota, exemption from Import Duties as well as an authorization to Invoice, Receive & make Payments in a Foreign Currency per the compliance standards of the Bank of Ghana.

With the Ghana Immigration Service, employers of Foreign Nationals are therein required to obtain Work & Residence Permit for their employees and renew same upon expiration. Employers of Foreign Nationals are required to notify the Ghana Immigration Service upon the departure of their employees, and file annual returns on the status of their Expatriates.

At the District & Municipal Assembly Level of Engagement, registration is therein called for as far as the issuance of a Business Operating Permit [BOP] is concerned. It is recommended that contact is established at the same time registration with the Registrar General’s Department begins, and thereafter a formal application must be put in to obtain Business Operating Permit.
